Sandor X. Mayuga

Sandy Mayuga is a shareholder with Keesal, Young & Logan in its Long Beach office.  He has been a business and transactional lawyer for over 44 years focusing on forming and financing new businesses.  Sandy has been Peer-Rated “AV® Preeminent™” by Martindale-Hubbell for several years.  He has represented clients in all aspects of business and real estate transactions, including formations and organization of corporations, limited liability companies and partnerships, private and public offerings of equity, debt and hybrid securities, mergers and acquisitions, asset-based finance, purchase and leasing of real estate, and a broad range of regulatory matters.

For over 38 years he has specialized in representing financial institutions, including federally-insured commercial banks, savings associations and industrial banks, finance companies, asset-based lenders, mortgage companies, and escrow companies.  He has prepared applications for de novo financial institutions and other lenders, acquisitions and mergers, charter conversions, holding company formations and other regulatory applications, securities offerings, real estate, regulatory compliance and structuring and documenting complex corporate transactions and lending programs.

He has represented clients in matters with the Federal Deposit Insurance Corporation, the Board of Governors of the Federal Reserve System, the California Department of Business Oversight, and other federal and state regulators.  In 1988 the California Commissioner of Corporations appointed Sandy to the Commissioner’s Industrial Bank Advisory Committee, which advised the Commissioner on matters relating to legislative, regulatory and operational matters pertaining to industrial banks.  He became a member of the Financial Institutions Committee of the Business Law Sections of the State Bar of California in 1991.

Sandy is a graduate of the University of Pennsylvania Law School (J.D., 1974) where he earned the Raymond A. Speiser Award for Excellence in Field Research and studied extensively at the Wharton School of Finance and Commerce.  After law school he earned a Certificate in Private International Law at the Academie du Droit Internationale de la Haye (1974) and a Certificate from the Universite Libres du Bruxelles (1974) in the Law of the European Economic Communities.  Sandy graduated from the University of California, Santa Barbara with a bachelor of arts degree in political science, magna cum laude, in 1970.

From 1970 to 1989, Sandy served in the U.S. Air Force (Regular and Reserve) achieving the rank of Major in the Air Force Intelligence Service.  He has been a member since 1976 of the British United Services Club of Los Angeles, an American and British veterans club, serving four terms as President and several terms as Secretary and Treasurer.  He has been a director and the Secretary of the Long Beach Symphony Association for the last several years.  He currently serves as Secretary and a director of the Tichenor Support Foundation, a member of the Board of Governors of the Long Beach City College Foundation and he has attained the rank of Grand Officier and served as Prior in the Sovereign Military Order of the Temple of Jerusalem.  Sandy also served as President (2008–2010) and a member of the Board of Directors (2000–2011) of the Long Beach Area Council, Boy Scouts of America, and a director (2008–2017) and the President (2013–2015) of the Tichenor Orthopedic Clinic for Children in Long Beach, California.

Representative Transactions and Presentations

  • Advised a financial institution in the structuring and preparation of public and private offering materials for a “Peer-to-Peer” lending platform, including obtaining the appropriate lending license and preparing disclosure documents and transaction agreements
  • Advised major national and international non-depository lenders in compliance with state and federal laws governing usury and licensing and lending transactions
  • Represented technology service providers and financial institutions in negotiation of technology service agreements and compliance with Gramm-Leach-Bliley Act
  • Advised and assisted entrepreneurs and domestic and international institutional investors in the formation, financing and mergers and acquisitions of over 50 depository and non-depository, federally-insured and uninsured, financial institutions, including commercial banks, savings and loans (including one of the earliest Internet only S&L’s), industrial banks, escrow companies, money transmitters, and mortgage and consumer finance lenders
  • Represented California-based savings and loan holding company and other holding companies in offerings of convertible preferred stock, convertible debt and other securities and assisted them in ”going public”
  • Represented major port terminal company in negotiation of term loans and revolving lines of credit vis a vis major international banks
  • Represented distressed depository institutions in their efforts to prevent or delay seizure by state and federal financial regulatory authorities, including defending institutions, boards and management against regulatory attack, assisting with capital raising efforts and contesting administrative hearings

  • Tichenor Support Foundation (May 2017–Present):  A member since May 2017 of the board of directors of this charitable foundation which supports the Tichenor Orthopedic Clinic for Children and other children’s medical clinics.  He also serves as Secretary (2018–Present).
  • Long Beach City College Foundation (September 2015–Present):  A member of the Board of Governors of the Long Beach City College Foundation which supports students attending Long Beach City College.
  • Long Beach Symphony Association 2012–Present):  He has been a director of the Long Beach Symphony Association since 2012 and served as Secretary (2014–2017) and member of the Executive Committee, the Audit Committee, and the Artistic Transition Committee.
